This Disclaimer applies to all access to and use of The Analyst platform (Platform) and to all reports, analyses, valuations, projections, simulations, scores, recommendations, transcripts and other outputs generated by it (collectively, Reports).
By accessing or using the Platform, or by receiving or relying on a Report, you acknowledge that you have read, understood and accepted this Disclaimer, and that you accept all risks associated with the Platform and with reliance on Reports.
In this Disclaimer, Backable means Backable Pty Ltd and its directors, officers, employees, contractors, agents and related bodies corporate. You and User mean any person who accesses the Platform or receives a Report, whether as a subscriber, an authorised user, a client of a subscriber, or otherwise.
The Analyst is an AI-powered strategic report system that generates Reports from questionnaires, uploaded documents, connected data sources, financial data and agentic (AI-conducted) interviews, including voice interviews.
The Platform applies quantitative analysis, including statistical modelling, probabilistic simulation and other mathematical methods, to the information supplied to it. Artificial intelligence systems, including large language models operated by Backable and by third-party providers, are then applied to the outputs of that analysis through proprietary frameworks, harnesses and methodologies owned by Backable, in order to interpret, structure and express the results.
Both the quantitative and the interpretive layers of this process produce estimates and opinions. Mathematical or probabilistic method does not make an output factual, verified or certain: modelled results depend entirely on the assumptions applied and the information supplied, and remain subject to every limitation set out in this Disclaimer.
The Platform is a decision-support tool. It is not a substitute for professional judgement, independent verification, or advice from a qualified adviser.
All Reports constitute opinions and estimates only. They are not statements of fact and must not be relied upon as definitive, accurate or complete assessments of any business, strategy, market, asset or financial position.
All valuations are estimates derived from the information available to the system and its analytical processes. Valuations are subjective and may differ materially from actual market values, from valuations prepared by qualified professionals, and from future outcomes.
Reports containing valuations, value ranges or value indications are prepared without physical inspection of any asset or premises, without audit, review or independent verification of financial records or supporting documents, and without enquiry of management beyond the information supplied to the Platform.
Backable is not an accredited business valuer and does not hold itself out as performing valuation services in accordance with APES 225 Valuation Services or any equivalent professional valuation standard. The Platform's methodologies are informed by approaches commonly applied in professional valuation practice, but that does not constitute compliance with, certification under, or accreditation against any professional standard.
Backable does not verify the existence, ownership, quantity, condition, location, title or value of any asset, and does not verify the existence, quantum or completeness of any liability. Without limitation, Backable performs no stocktake or physical count, no inspection or condition assessment, no search of any title, security, personal property securities or encumbrance register, no testing of the recoverability of receivables or the collectability of debts, and no enquiry as to contingent, unrecorded, off-balance-sheet or disputed liabilities, guarantees, employee entitlements, lease or finance obligations, warranty claims, tax liabilities, or actual or threatened litigation.
Asset and liability figures appearing in a Report are taken from the information supplied and are adopted without adjustment unless the Report expressly states otherwise. They are not evidence that an asset exists or is owned, or that the liabilities recorded are complete.
Reports may be used as preliminary analysis, or as one input among others, for any lawful business purpose, including transaction, taxation, restructure, succession, financing, litigation support and planning purposes, provided the User or the User's adviser independently reviews the Report, forms their own view, and takes responsibility for any conclusion reached.
Where a valuation is required for a taxation determination or filing, statutory financial reporting, court or tribunal proceedings, family law property matters, insolvency, buy-sell or share transfer arrangements, employee share schemes, insurance, or any other statutory, regulatory or contested purpose, a Report is not sufficient on its own.
For those purposes the Report must be reviewed, adjusted where necessary, adopted and signed by an appropriately qualified and, where required, accredited practitioner who takes professional responsibility for the valuation. On sign-off, the valuation is that practitioner's own, issued under their professional standards, licensing and insurance arrangements, and not Backable's.
A Report that has not been adopted and signed off in accordance with clause 4.3 must not be described, presented or provided to any person as a certified, formal, audited or professionally endorsed valuation.
Nothing in this clause 4 expands Backable's duty of care or liability, which remain as set out in clauses 9, 15 and 16.
Reports may contain forecasts, projections, scenarios, probability distributions, confidence intervals, simulation outputs and other forward-looking statements. These are based on assumptions that may prove incorrect and on information that may be incomplete, out of date or inaccurate.
Forward-looking outputs are illustrative modelling only. They are not guarantees, promises or assurances of any outcome, return, growth rate, valuation or result. Actual results will differ, and may differ materially. Probabilities, ranges and confidence measures reflect the internal assumptions of the model, not real-world certainty.

No Report has been prepared having regard to your objectives, financial situation or needs. You should obtain independent professional advice tailored to your circumstances before acting.
The quality of a Report depends entirely on the quality, accuracy, completeness and currency of the information supplied to the Platform, whether entered by you, uploaded, imported through a connected system, or given in an interview.
Backable does not audit, verify, validate, reconcile or independently confirm any information supplied. Backable assumes it is accurate, complete and current, and accepts no responsibility for Reports affected by information that is not.
The Platform may connect, through application programming interfaces or other integrations, to third-party systems including accounting, bookkeeping, inventory, point-of-sale, payroll, banking, customer relationship management, advertising and analytics platforms (Connected Systems).
Data retrieved from Connected Systems is generated by those systems and by the record-keeping practices of you or your business. Backable does not control, audit or verify it, and gives no warranty as to its accuracy, completeness, currency, consistency or fitness for any purpose.
Without limitation, Backable accepts no responsibility for Reports affected by unreconciled accounts, unposted or unadjusted journals, draft or unlocked periods, differences between cash and accrual treatment, misclassified or incorrectly mapped accounts, incorrect tax or GST treatment, uncounted or inaccurate stock records, intercompany or related-party transactions, duplicated or missing records, or any other error, omission or irregularity originating in a Connected System.
To generate Reports, the Platform maps, normalises and restates data from Connected Systems into standardised structures. That process involves assumptions and judgements and may not reflect the intended meaning of the source data. You are responsible for reviewing the resulting figures and classifications before relying on them.
Data retrieved from a Connected System is a snapshot as at the time of retrieval. Reports are not automatically updated when source data changes. Subsequent adjustments, including end-of-period, accountant, audit or tax adjustments, may materially change the outcome of a Report. A Report should be read as at its generation date only.
Third-party providers may change, restrict, rate-limit, suspend or discontinue their integrations at any time. Backable is not liable for any failure, delay, interruption, partial synchronisation or data loss arising from a Connected System or its provider, and does not warrant continued availability of any integration.
Your use of a Connected System is governed by your agreement with its provider. Backable is not responsible for that provider's service, terms, security practices or handling of your data.
You warrant that you have the right to supply all information you provide and to authorise any connection to a Connected System, including where the data relates to a client, employee or other third party, and that doing so does not breach any obligation of confidence, privacy law, licence, platform term or third-party right.
Where you are an adviser, accountant, valuer, broker, consultant or other professional using the Platform in connection with services you provide to your own clients:
You are responsible for ensuring your clients are made aware of the limitations set out in this Disclaimer.
Reports are prepared solely for the User who commissioned them, for the purpose for which they were commissioned.
Backable owes no duty of care to, and accepts no liability to, any third party who receives, reviews or relies on a Report, including without limitation lenders, credit providers, brokers, investors, purchasers, vendors, insurers, regulators, courts or tribunals. This applies whether or not Backable knew or ought to have known that the Report might be provided to that third party.
No Report constitutes, forms part of, or may be relied upon as, a due diligence report, investigating accountant's report, vendor due diligence report, expert report, audit, review, agreed-upon procedures engagement, or any other assurance engagement.
No person may rely on a Report in connection with the acquisition, sale, merger, restructure or financing of a business, an entity, or the assets of a business, whether as purchaser, vendor, investor, financier, guarantor, incoming or outgoing partner or shareholder, or adviser to any of them, as a substitute for, or as evidence of the adequacy of, their own due diligence.
Any party contemplating such a transaction must conduct its own independent legal, financial, taxation, commercial and operational due diligence, and must independently verify all assets, liabilities, records and representations. A Report is at most a preliminary input to that process.
No Report may be provided to a third party as evidence of value, financial position, creditworthiness or business performance without clearly disclosing its nature and the limitations in this Disclaimer. Where a Report is provided to a third party, this Disclaimer must be provided with it in full.
You acknowledge that:
The Platform may conduct interviews using AI voice and text agents. These interactions may be recorded, transcribed, processed and retained for the purpose of generating Reports and improving the Platform in accordance with Backable's Privacy Policy.
Where you invite or permit another person to participate in an interview, you are responsible for obtaining their informed consent to that recording, transcription and processing, and for complying with all applicable recording, surveillance and privacy laws in the relevant jurisdiction.
Backable's collection, use, storage and disclosure of personal information is governed by Backable's Privacy Policy and the Privacy Act 1988 (Cth). Data may be processed and stored by third-party infrastructure and AI providers, which may involve processing outside Australia.
You are responsible for ensuring that you have the authority and any necessary consents to supply personal information, financial data or confidential information of any third party (including your clients) to the Platform, and for de-identifying information where appropriate.
While Backable applies reasonable security measures, no system is completely secure and Backable does not warrant that data transmitted to or stored on the Platform will be free from unauthorised access.
The Platform, including its underlying AI configurations, prompts, algorithms, knowledge structures, frameworks, methodologies, processes, report templates, scoring systems and proprietary technology, is and remains the exclusive intellectual property of Backable.
You retain ownership of the data and materials you supply. You grant Backable a non-exclusive licence to use, process, store and reproduce that material as necessary to operate the Platform and generate Reports.
Subject to your rights in your own input data, and to payment of applicable fees, you may use Reports for your own internal business purposes and, where you are a professional user, in the provision of services to your clients.
You must not:
To the maximum extent permitted by law, the Platform and all Reports are provided on an "as is" and "as available" basis, and Backable makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted or error-free availability.
Nothing in this Disclaimer excludes, restricts or modifies any guarantee, right, warranty or remedy conferred by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted or modified.
To the extent permitted by law, where Backable is liable under a non-excludable consumer guarantee in relation to services, Backable's liability is limited, at Backable's option, to resupplying the services or paying the cost of having the services resupplied.
To the maximum extent permitted by law, and subject to clause 15, Backable expressly disclaims all liability and responsibility for:
Subject to clause 15, Backable's total aggregate liability for all claims arising out of or in connection with the Platform or a Report is limited to the fees actually paid to Backable by you for the specific Report giving rise to the claim. This does not include fees charged by any external party.
Subject to clause 15, Backable is not liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, revenue, anticipated savings, business opportunity, goodwill or data, however arising.
The Platform is under continuous development. Features, engines, methodologies, models, report formats and outputs may change, be added or be withdrawn at any time without notice. Reports generated at different times may not be comparable.
Backable may amend this Disclaimer at any time by publishing an updated version on the Platform. The version in force at the time a Report is generated applies to that Report. Continued use of the Platform after publication constitutes acceptance of the amended Disclaimer.
This Disclaimer is governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
If any provision of this Disclaimer is found to be unenforceable, it is to be read down to the extent necessary to make it enforceable, or severed, without affecting the remaining provisions.
